Cortyne Terms & Conditions

These commercial terms apply where an organisation obtains a Cortyne trial, paid subscription, proposal licence or other paid access from Innovyance Ltd. They should be read together with the Terms of Service, Privacy Notice and any order form or written proposal accepted by both parties.

1. Orders and precedence

An order may be formed through an accepted order form, online checkout, written proposal or other written confirmation from Innovyance Ltd. If an order expressly conflicts with these terms, the order controls for that specific commercial arrangement.

2. Trials and free access

Free trials or promotional access may be limited by proposal count, users, features, time or usage. We may change or withdraw a free offering on reasonable notice. Trial access does not create a commitment to provide any feature indefinitely.

3. Fees, taxes and payment

The applicable order or checkout page will state the price, billing basis, payment timing and any stated taxes. Unless stated otherwise, quoted business prices exclude taxes that must legally be added. Customers must pay valid invoices by the stated due date.

4. Subscription term and renewal

Any fixed term, renewal mechanism or minimum commitment will be stated before purchase in the applicable order. Cortyne will not rely on a hidden renewal term. Where an order has no automatic renewal wording, access ends or requires a new order at the end of the stated term.

5. Cancellation

Cancellation rights for a paid business order are those stated in the applicable order and any rights that cannot lawfully be excluded. Ending a subscription does not automatically erase account or proposal records; personal-data erasure can be requested separately through the account deletion request process.

6. Customer responsibilities

The customer is responsible for its authorised users, its proposal decisions, the lawfulness and accuracy of content it provides, and ensuring that it has permission to invite and share information with consortium participants.

7. Support and service operation

Cortyne provides support through the product's Help & Support workflow and other channels stated in an order. Unless an order includes a specific service level, response and restoration targets are operational goals rather than contractual service-level commitments.

8. Data protection

Each party must comply with applicable data-protection law for the personal information it controls. Where Innovyance Ltd processes personal information on documented instructions for an organisation, any required processor terms or data-processing agreement may be incorporated into the relevant order or supplied separately.

9. Confidential information

Each party must use reasonable care to protect confidential information received from the other and use it only for the relationship, except where disclosure is authorised or legally required. Proposal information visible to authorised consortium participants is not treated as disclosed by Innovyance Ltd merely because the customer chose to share it through Cortyne.

10. Third-party services

Cortyne relies on specialist infrastructure and communication providers. We remain responsible for selecting and configuring our service providers appropriately, but are not responsible for failures caused solely by external services beyond reasonable control where we have taken reasonable steps to mitigate their impact.

11. Changes to commercial terms

We may update these terms for future orders and renewals. Material changes affecting an existing paid term will not retrospectively replace a signed order unless the order allows that change or the parties agree it.

12. Governing law

Unless an order states otherwise, these terms are governed by the laws of England and Wales and the courts of England and Wales have jurisdiction.
